Terms of Use

These terms describe the current NutriHive product, billing through Paddle, and your responsibilities as a practitioner.

These Terms of Use (“Terms”) are the agreement between you and Yaacoub Azzam, the operator of NutriHive, for use of our websites, practitioner dashboard, admin tools, and related services (together, the “Service”).

By creating an account, signing in with Google, starting a trial, or otherwise using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.


1. What NutriHive is

NutriHive is a practice tool for nutrition professionals. It helps you store client profiles, body metrics, goals, meal plans, appointments, and practice membership notes, and to subscribe for paid access.

NutriHive is not:

  • A consumer calorie-tracking app for the general public
  • A medical device
  • A substitute for your professional license, clinical judgment, or in-person care
  • A party to the relationship between you and your clients

Calculated values in the Service (for example BMI or calorie targets) are decision-support based on the numbers you enter. You remain solely responsible for every recommendation you give a client.


2. Who may use the Service

You must be an adult (at least 16, or 18 where your country requires it for this kind of contract) and able to form a binding agreement.

Practitioner accounts are for nutritionists, dietitians, and similar professionals (or staff they authorize). You must have any license, insurance, and client consent your profession and local law require.

We do not offer NutriHive accounts to children. Client records may include minors only if you lawfully enter that data as the practitioner. See the Privacy Policy.

We may close registration, disable Google sign-in, or cap the number of accounts. Those switches already exist in the product.


3. Your account

You can register with email and password, or with Google sign-in when that option is enabled.

You agree to:

  • Give accurate account details (email, name, optional clinic name and address)
  • Keep your password secret. Passwords must be at least 8 characters and include uppercase, lowercase, a number, and a special character
  • Verify your email with the one-time code we send (codes expire in 10 minutes)
  • Tell us promptly if you think someone else used your account

You are responsible for activity under your login. Sign out on shared devices.

We may deactivate an account (block login) for breach of these Terms, non-payment after access ends, suspected abuse, or legal risk. Deactivation is not the same as deleting your data. Account deletion is handled as described in the Privacy Policy.

Administrators of NutriHive may invite users and manage account status. Administrator accounts are still bound by these Terms.


4. The Service we provide

Subject to a valid subscription (see section 6), the dashboard currently lets you:

  • Create and update client records, including health-related fields you choose to enter
  • Archive or restore clients (archive hides them from the active list; it does not erase them)
  • Record body statistics and goals
  • Build meal plans, meals, and foods (including your own foods and a shared USDA-based catalog)
  • Schedule appointments
  • Store practice membership amounts and dates (this is your billing notebook for clients, not card processing)
  • Download a meal-plan PDF in your browser
  • Choose interface language (English, French, Arabic) on this device
  • Manage your NutriHive subscription (checkout, cancel, pause, resume, customer portal)

Features can change. We do not promise that every current screen will exist forever.

Paid-feature API routes require an access-granting subscription status: active, trialing, or past_due. Paused or canceled subscriptions do not unlock those features.


5. Clinical and professional responsibility

You are the clinician. We are software.

You agree that:

  • NutriHive does not diagnose, treat, or prescribe
  • You will not present the Service as a replacement for professional advice
  • You will verify nutrition calculations, allergens, and medical-condition notes before you act on them
  • You will obtain any informed consent, parental consent, or other permission needed before you store a client’s data
  • You will comply with health, privacy, and consumer laws that apply to your practice

If a client is harmed by advice you give, that is your professional responsibility, not a defect we warrant away. Use of the Service is at your own clinical risk.


6. Subscriptions, trials, and Paddle

6.1 Merchant of record

Paid access is sold through Paddle. Paddle is the merchant of record. When you start a trial or pay, you also agree to Paddle’s checkout buyer terms and privacy policy. Paddle collects payment method and tax details. We do not store full card numbers.

Prices, currency, and tax are shown at checkout. Catalog prices come from Paddle and can change for future periods.

6.2 Trial

Onboarding currently offers a 7-day free trial. A payment method is required. You are not charged on the day you start the trial. If you do not cancel before the trial ends, Paddle bills the plan you chose (monthly or yearly, as displayed at checkout).

You can cancel during the trial so you are not billed when it ends.

6.3 Access while subscribed

You keep access while the subscription is active, trialing, or past due. “Past due” means a payment failed; we still grant access for now so you can update billing, but Paddle may later cancel or restrict the subscription. Update payment details promptly.

6.4 Cancel

Cancel is scheduled for the end of the current billing period (next_billing_period). You keep access until that date. You are not charged again after it ends. Cancel is not an immediate cut-off in the current product.

6.5 Pause and resume

Pause is also scheduled for period end. You keep access until then. While paused, billing stops.

If you resume a paused subscription, billing starts a new period and charges immediately. If you undo a pause that is only scheduled (not yet in effect), normal billing continues.

You cannot start a new checkout while you already have an active or resumable subscription. Resume that subscription instead.

6.6 After access ends

If the subscription is canceled, expired, or paused (after the pause takes effect), paid dashboard features are blocked until you resume or start a new eligible plan (including a new trial when the product offers one).

Your client records remain stored on your account unless deleted under the Privacy Policy. Losing paid access does not by itself wipe your data.

6.7 Refunds

The product does not have a separate in-app refund button. Refunds and chargebacks follow Paddle’s policies and any consumer law that applies to you. If you think a charge is wrong, email privacy@nutri-hive.com and/or contact Paddle.


7. Your content and client records

“Your Content” means everything you submit: account profile, clinic details, client files, notes, plans, custom foods, appointments, membership notes, and similar data.

You retain whatever rights you already have in Your Content. You grant NutriHive a worldwide license to host, copy, process, and display Your Content only as needed to provide the Service (including backups, security, and emails we send you).

You represent that:

  • You have the right to enter Your Content
  • Client data is entered under a lawful basis (you are the controller; we are the processor — see the Privacy Policy)
  • Your Content will not infringe others’ rights or break the law

We do not claim ownership of your clinical records. The shared food catalog may include public USDA FoodData Central foundation foods; that catalog is not your proprietary client data.

Plan PDFs are generated in your browser. You are responsible for how you store or share those files.


8. Acceptable use

You will not:

  • Use the Service for anything illegal, or to store data you are not allowed to hold
  • Try to access another practitioner’s clients or accounts
  • Probe, scan, or overload the Service, bypass rate limits, or break authentication
  • Resell, scrape, or reverse engineer the Service except as the law allows
  • Upload malware (the current product has no general file upload; do not attempt to abuse APIs)
  • Use NutriHive to send spam or medical claims we have not authorized you to make in our name
  • Misrepresent NutriHive as providing medical advice
  • Share login credentials except with staff you are allowed to authorize under your own policies

We may suspend access immediately if we reasonably believe this section is broken.


9. Intellectual property

NutriHive, the software, trademarks, and documentation are owned by the operator or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your authorized access. No other license is granted.

You may not copy the product, remove notices, or use our name in a way that suggests we endorse a specific clinical outcome.

Third-party marks (Google, Paddle, USDA) belong to their owners.


10. Third-party services

The Service depends on third parties, including:

  • Google — optional sign-in
  • Paddle — checkout, tax, invoices, customer portal
  • Email delivery (SMTP) — verification, password reset, welcome messages
  • Hosting — application servers, PostgreSQL, Redis, and the email queue

Their outages or policy changes can affect NutriHive. Their terms govern your use of their products.


11. Availability and support

We aim to keep the Service running but do not currently publish an uptime SLA. Maintenance, bugs, and upstream failures can cause downtime or data delay.

Transactional email may be delayed or, in misconfiguration, not sent. Keep a recovery path for password reset.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LEBANESE LAW AND ANY OTHER LAW THAT APPLIES, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF NUTRITION CALCULATIONS, AND NON-INFRINGEMENT.

We do not warrant that:

  • Calculations, allergen flags, or stored notes are complete or clinically appropriate
  • The Service will be error-free or uninterrupted
  • Client data cannot be lost (you should keep your own professional records as required by your regulator)

Some places do not allow these disclaimers. Your mandatory consumer rights stay in force.


13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LEBANESE LAW AND ANY OTHER LAW THAT APPLIES, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR CLINICAL OUTCOMES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE AMOUNTS YOU PAID TO PADDLE FOR NUTRIHIVE IN THAT PERIOD (OR, IF NONE, FIFTY US DOLLARS / EQUIVALENT).

Nothing in these Terms limits liability that cannot be limited (for example, death or personal injury caused by negligence where that bar is forbidden, or fraud).

This cap does not change your professional liability to your own clients.


14. Indemnity

To the maximum extent permitted by law, you will defend and indemnify Yaacoub Azzam and anyone helping operate NutriHive against claims arising from: (a) Your Content; (b) your clinical advice or practice; (c) your breach of these Terms or of law; or (d) a dispute between you and a client.


15. Privacy

Personal data is handled as described in the Privacy Policy. If these Terms and the Privacy Policy conflict on data protection, the Privacy Policy controls for that topic.

You must have a lawful basis before you enter client health data. When you enter client records, you instruct us to process that data as your processor as described in the Privacy Policy. EU/UK practitioners who need a signed Data Processing Agreement should email privacy@nutri-hive.com before entering client data.


16. Changes to the Service or these Terms

We may change features, prices for future billing periods, or these Terms. Material changes will be posted at /terms with a new “Last updated” date. Where the law requires it, we will also notify you by email or in-app notice.

If you do not agree to updated Terms, stop using the Service and cancel at period end. Continued use after the effective date means you accept the new Terms, except where consent is required.

Price changes do not alter a period you already paid except as Paddle’s terms and applicable law allow.


17. Termination

You may stop using the Service at any time and cancel your subscription as in section 6.

We may suspend or end access if you breach these Terms, if required by law, or if we discontinue the Service. If we discontinue NutriHive entirely, we will give reasonable notice where we can and explain how to export or request deletion of data we hold.

Sections that should survive (including 5, 7, 9, 12–14, 18) stay in effect after the agreement ends.


18. Governing law and disputes

These Terms are governed by the laws of Lebanon, without limiting non-waivable rights you have in your place of residence.

Courts of Lebanon have jurisdiction over disputes arising from these Terms, except where a mandatory consumer or data-protection forum in your country applies instead.


19. General

  • If a court strikes one clause, the rest still apply.
  • These Terms plus the Privacy Policy and Paddle’s checkout terms are the whole agreement for the Service.
  • You may not assign your account without our consent. We may assign the agreement as part of a reorganization or sale.
  • Failure to enforce a clause once is not a waiver.
  • Headings are for reading convenience only.
